Commonwealth Procurement Rules: The Legal File
Check a Commonwealth purchase before commitment. Apply procurement rules to value for money, the buying method, evaluation and a defensible legal file.

The Commonwealth Procurement Rules govern how relevant Commonwealth entities buy goods and services, with value for money as the core rule. A legal review connects the buying method and evaluation to the approved commitment, contract and payment record. The first question is which rules apply to this entity and procurement.
Establish Which Procurement Rules Apply
Establish the entity’s status, the nature of the purchase and the operative rules before advising on compliance. The Department of Finance publishes the Commonwealth Procurement Rules and supporting guidance. They sit within the public-resource framework of the PGPA Act.
Finance’s application guidance distinguishes non-corporate Commonwealth entities from prescribed corporate Commonwealth entities. Division 1 contains the general rules. Division 2 adds requirements where the relevant threshold and coverage conditions are met. Check any entity-specific provision before applying a generic threshold table.
Record the edition governing the procurement. Finance’s transition guidance links the applicable edition to the approach-to-market timing. A later contract signature does not by itself answer which edition governed the earlier process.
Keep the CPRs separate from the entity’s internal instructions and any panel’s buying rules. Identify mandatory arrangements, procurement-connected policies and required contract terms. If a panel is relevant, establish whether this purchase falls within its scope before relying on it. Record the specific basis for any exception and which obligations remain.
Assess Value and Choose the Procurement Method
Estimate the whole procurement before choosing the method. A supplier’s first invoice or initial quote can be smaller than the commitment the entity actually proposes.
The 2025 CPRs require a maximum-value estimate that includes proposed options and applicable remuneration, taxes and charges. Their multipart rule concerns a procurement conducted in multiple parts. They prohibit dividing a procurement solely to avoid a relevant threshold.
The legal reviewer can ask the responsible team to document these steps:
- Define the complete requirement and proposed duration, including options or additional stages already contemplated.
- Calculate the estimated value on the applicable basis and retain the assumptions supporting it.
- Compare that value with the entity’s applicable procurement threshold. Keep the reporting threshold separate.
- Identify the permitted buying method and any exemption or limited-tender condition relied on.
- Identify the approvals and authority needed before the entity commits.
Commonwealth procurement uses open tender or limited tender. A purchase below a Division 2 threshold still needs the applicable Division 1 and policy analysis. Urgency or a preferred provider’s specialist skills do not, without further analysis, establish an exception.
For related commitments, establish whether they are parts of the same procurement under the actual rules. Shared supplier identity alone does not settle that question. For a proposed variation, assess whether the change remains within the procured scope or requires a new procurement.
Document Value for Money and Fair Treatment
A value-for-money record explains why the selected proposal meets the purchase need at an acceptable whole-of-life cost and risk. Finance’s value-for-money rules require consideration of financial and non-financial costs and benefits. The lowest quoted price does not complete that assessment.
Define the requirement before evaluating submissions. For specialist financial analysis, criteria might address the requested outputs, source traceability, information handling and delivery timeframe. Use the criteria actually adopted for the procurement, with comparative evidence showing how each submission meets them.
Record the reasons for a trade-off. A higher-priced proposal might meet a required delivery period that another proposal cannot. The file needs the submission supporting that difference and the evaluator’s reasoning. A later assertion that the winner was “better” does not explain the decision.
Examine conflict declarations, gifts or hospitality issues and the measures used to manage actual, potential or perceived conflicts. Finance’s ethical procurement rules require equitable treatment of suppliers and management of conflicts throughout procurement.
Retain supplier questions, clarifications and the information supplied in response. Identify departures from the planned process and assess their effect on fair treatment. Separate evidence of unequal treatment from an unexplained score difference that still needs investigation.
Review the Tender and Contract Decision File
Review the file in the order the commitment develops. Each stage must connect to the next without replacing missing contemporaneous evidence with a reconstructed account.
- Inspect the approach to market. Confirm the scope, conditions for participation, evaluation criteria and material issued to suppliers.
- Preserve the submissions as received. Record receipt, clarifications and any handling of late or non-conforming submissions under the applicable rules.
- Examine the evaluation. Reconcile scores, comparative reasons, conflicts and any negotiations with the stated process.
- Check the approval. Identify the person, authority, approved amount and conditions before contract execution.
- Compare the executed contract with the approved outcome. Check deliverables, price basis, acceptance requirements and information-handling terms.
- Identify publication and reporting obligations. Keep the reporting evidence with the contract file.
- Review later options and variations against their terms, authority and effect on scope and value.
Consider a fictional specialist-analysis engagement covering 4,000 bank-statement pages across 18 accounts. The provider quotes for a searchable transaction ledger and a written findings report with source references. The quote identifies the supplied records, delivery assumptions and treatment of extra pages.
The agency must separately determine the procurement method, complete its evaluation and obtain authorised approval. The provider’s written scope supports those decisions but does not make them. If a panel arrangement is relevant, confirm its application before the purchase proceeds. The example establishes no provider’s panel membership.
For reporting, Finance’s contract reporting guidance explains the AusTender requirements. Relevant contracts meeting the applicable reporting threshold must be reported within 42 days of entry. Apply the separate amendment rules to later changes, including accumulated unreported amendments where relevant.
Finance’s senior oversight policy for variations can require heightened approval. Assess its scope, value conditions and applicable period before approving a variation or adding options.
Reconcile the Contract With Invoices and Payments
Match each invoiced service to the contract or authorised variation, then match payment to the approved invoice. Keep references that let another reviewer repeat the reconciliation.
Use the fictional engagement to distinguish different problems:
| File item | Evidence to connect | Question to resolve |
|---|---|---|
| Original analysis fee | Contract C-01, invoice I-01, acceptance A-01 and bank payment P-01 | Does the paid amount match the accepted contracted work? |
| Extra statement pages | Written variation V-01, approval and invoice I-02 | Were the added pages authorised on the agreed price basis? |
| Repeated invoice number | I-01, payment P-01 and later payment P-04 | Is P-04 a duplicate, a reversal or a separately supported payment? |
| Separate work orders | Original requirement, estimates, orders and approval trail | Were these genuine separate purchases or parts divided to avoid a rule? |
For every difference, record the amount, source identifier, explanation obtained and outstanding action. Retain credits and reversals so the payment picture remains complete. A matching total does not prove that the required procurement process occurred.
An unsupported variation calls for the missing instruction, authority and scope assessment. Apparent splitting calls for evidence of the original requirement and purpose of the separate orders. Duplicate-looking payments require reconciliation before recovery or an allegation. Classify a concern as substantiated only when the evidence supports that conclusion.
Handle a Challenge or Process Defect
Classify the complaint and preserve the file before choosing a corrective action. Finance’s procurement complaints guidance distinguishes complaints covered by the statutory review scheme from other procurement complaints.
The Government Procurement (Judicial Review) Act 2018 applies to specified contraventions concerning covered procurement. Establish the procurement’s coverage, the relevant rule and the complainant’s affected interests. Do not assume that every CPR departure creates the same statutory remedy.
A qualifying written complaint triggers investigation and procurement-suspension duties, subject to the Act’s conditions and public-interest-certificate provisions. Escalate promptly for advice on any injunction application, its time limits and the available compensation. Obtain separate advice on other legal claims where the facts require it.
For complaints outside that Act, use the entity’s applicable complaints procedure. Record the issues, the independent examination where appropriate and the reasons for the outcome. An internal process correction and a court remedy are different decisions.
A CPR contravention does not itself invalidate a contract under section 23 of the Act. Assess contractual rights separately before deciding to terminate, withhold payment or renegotiate. Preserve the original evaluation and payment records, with any later explanation clearly identified as later material.
Before closing the review, confirm that each concern has an evidence-backed finding, an authorised response and a retained source record. Where a defect remains unresolved, identify the affected decision and the action required before the next commitment proceeds.
