Escrow Agreements: Funds, Release and Accounting
Holding funds under an escrow agreement? Identify the holder, release conditions and dispute instructions, then reconcile every receipt and payment.

An escrow agreement sets out who holds identified money or property and the conditions that authorise its release. For a funds arrangement, the practical test is whether the holder can connect each payment to an agreed condition and verified instructions. The closing account must then show where every dollar went.
What the Escrow Agreement Holds and Controls
A funds escrow places specified money with a holder pending agreed conditions. Name the depositor, holder and intended recipient, including each party’s legal capacity. A company acting as trustee must be identified in that capacity. A solicitor holding money as stakeholder has a different role from a solicitor instructed only to advise one party.
Describe the underlying transaction and who can give each instruction. Identify whether the holder has duties to both transaction parties and whether anyone else has an interest in the fund. Read the escrow terms alongside the transaction contract through the wider contract review.
A funds escrow differs from a payment service that transmits money on instructions. Listed-share escrow concerns restrictions on dealings in securities. Software-source-code escrow concerns custody and conditional access to code. Their shared label does not establish a funds holder’s authority, account regime or regulatory status.
For a Victorian law practice, the Legal Services Board and Commissioner’s trust-money guidance explains the regulated categories, including controlled money. That category requires a written direction for an account controlled by the practice outside its general trust account. Establish the applicable state or territory regime and the holder’s authority before choosing the account. A private escrow agreement cannot displace mandatory client-money rules.
Specify Custody and the Release Conditions
Specify what enters the escrow, where it is held and what authorises its movement. Record the amount, currency, source and account ownership. Address permitted investment or use, segregation, interest entitlement, fees and reporting. State who bears bank charges and how an account shortfall is handled.
For money held by a law practice, distinguish the contractual allocation from the account rules. Interest credited to a permitted interest-bearing arrangement cannot simply be assumed for money in a general trust account. The agreed fee also needs a lawful withdrawal mechanism. The trust accounts guide addresses the holding obligations separately.
Translate each release clause into an observable event, required evidence and authorised instruction. State who verifies the evidence, whether joint instructions are needed and how recipient details are authenticated. A certificate and a payment instruction perform different jobs. Receiving one does not supply the other unless the agreement says so.
Consider this fictional transaction. A buyer deposits $100,000. The agreement permits $60,000 to be released when both parties certify completion of the first asset transfer. The remaining $40,000 stays pending a second transfer.
Partial completion authorises only the first payment. Delayed evidence leaves the relevant payment awaiting verification, even if the commercial target has passed.
If the seller emails a new recipient account, authenticate the change through an established contact channel. Obtain the variation or instruction the agreement requires before paying. An unverified message cannot silently replace the agreed recipient or release condition. The Victorian regulator’s escrow scam warning describes impersonated investors authorising releases, which makes identity verification part of administering the arrangement.
Plan Disputed Instructions and Termination
Write a procedure for inconsistent demands and unmet conditions before the holder receives money. Specify notices, response periods and any contractual suspension of payment. Identify whether an undisputed portion can be paid separately and what evidence establishes that portion. A dispute itself supplies no authority to choose one claimant.
Provide for replacement of the holder, including acceptance by the successor and transfer of the complete account. Identify who can approve the replacement and the lawful basis for moving the money. Resignation cannot by itself discharge custody duties or authorise a payment to whichever party responds first.
Termination also needs a destination for retained money, treatment of accrued fees and continuing record obligations. An unmet release condition does not automatically require a refund unless the agreement or applicable law produces that result. Preserve any continuing restraint while the parties resolve the destination.
Continued holding under the agreement differs from court-directed relief. Where lawful instructions cannot resolve rival claims, interpleader concerns the separate court route. An application or threatened dispute does not itself provide an order releasing the fund or discharging the holder.
Execute and Administer the Arrangement
Confirm the parties’ identity, capacity and authority before accepting funds. Preserve the final executed agreement and schedules, along with account-opening directions and authorised signatory evidence. Resolve inconsistencies between the transaction contract and escrow instructions before relying on either.
The activity also needs its own regulatory assessment. Under the Commonwealth Anti-Money Laundering and Counter-Terrorism Financing Act 2006, obligations depend on the designated service and applicable conditions. AUSTRAC’s professional-services guidance explains the activities and exclusions. Assess the actual custody or transaction service and geographical link. The word escrow alone neither establishes an obligation nor supplies an exemption.
Administer the funds in this order.
- Record the cleared receipt against the payer, agreement and source bank entry. Investigate an unexpected payer or amount before treating the deposit as satisfying the contract.
- Assign each amount its current status, such as held pending the first transfer or retained for an unresolved adjustment. Keep that status separate from the bank balance.
- Assemble the evidence for the relevant release event. Record who checked it and which condition it satisfies.
- Obtain the required instruction and authenticate the recipient details. If evidence or authority is missing, retain the payment’s pending status and follow the agreed escalation procedure.
- Make the authorised payment under the applicable account controls. Retain its bank reference and confirmation, then update the funds account and report to the required parties.
A receipt proves money arrived. A release instruction records authority. The bank entry proves the payment occurred. Keep all of them so a later reviewer can follow each change in status.
Reconcile the Final Escrow Account
Reconcile total receipts and permitted deductions to the distributions and money still held. The following fictional account assumes a lawful interest-bearing arrangement. Its agreed terms allocate credited interest to the retained fund and permit the stated fee withdrawal.
Fictional Escrow Account
| Movement | Receipt | Payment | Balance | Supporting record |
|---|---|---|---|---|
| Original deposit | $100,000 | $0 | $100,000 | Cleared buyer receipt |
| Additional agreed deposit | $20,000 | $0 | $120,000 | Signed variation and receipt |
| Interest credited | $240 | $0 | $120,240 | Bank interest entry |
| Permitted fee | $0 | $440 | $119,800 | Fee authority and bank debit |
| First authorised release | $0 | $60,000 | $59,800 | Joint certificate and instruction |
| Second authorised release | $0 | $50,000 | $9,800 | Later certificate and instruction |
Receipts of $120,240 less payments of $110,440 leave $9,800. Match that balance to the bank record and explain why it remains held. In this example, a disputed completion adjustment prevents final release. The account is reconciled, but the escrow remains open.
Give each schedule row the relevant instruction reference and source bank entry. Separate an authorised amount awaiting payment from a completed distribution. Where a bank debit has no supporting authority, record and investigate the exception instead of treating a balanced account as proof of compliance.
FinTrace’s bank-statement analysis supplies a searchable ledger and findings with source PDF filenames and page references. That gives the solicitor the statement evidence for the funds account without repeating the manual statement review. The solicitor matches those movements to the governing escrow instructions and records the release entitlement separately.
Before closing the arrangement, account for the retained $9,800 under a valid release or other lawful direction. Preserve the final bank balance and the record authorising each distribution. Close only when the remaining custody obligations and account requirements have been satisfied.
