Legal Transaction Management Software: Compare Tools
Compare legal transaction management software for settlement conditions, approvals, asset realisation and a closing record that supports financial review.

Legal transaction management software suits settlements and estate closings when several parties must satisfy conditions before documents or funds can be released. Choose Litera Transact for a completion process centred on document approvals and signature tracking. Legatics suits teams coordinating shared conditions through configurable lists and controlled document access.
An existing practice-management workflow can handle a smaller closing with fewer outside participants. A controlled shared checklist is enough when one lawyer can maintain the authoritative record and review every change. The deciding question is who must approve each condition, and what evidence lets the lawyer authorise the next action.
Match the Workspace to the Completion Job
Choose the workspace around the number of independent parties and the complexity of approvals, then compare the closing record it produces. A settlement involving staged payments needs a different record from an estate closing awaiting one final receipt.
Litera Transact connects checklists with approvals, signature management and closing books. Its approvals documentation describes collecting sign-off from relevant organisations and individuals. Choose it when several parties must approve final documents before the completion lawyer can proceed. Its administrator can disable modules, so the firm’s configured scope determines which functions participants receive.
Legatics lets teams assign list rows to organisations, roles or individual users. It also controls access at list, row and column level, including individual document versions. Choose it when separate participants need different views of a shared conditions list. Its binder exports collect documents with an index, while list and audit exports preserve other parts of the matter record.
Actionstep is a practical starting point if your firm already uses its matter workflows and client portal. Its portal supports folder permissions for document exchange. Keep a straightforward estate closing there when the legal team can maintain the condition register alongside the matter. Budget separately for any signing service and the work of assembling the closing bundle.
Compare the Completion Workflow
| Approach | Party access | Approval and signing control | Closing handover | Suitable complexity |
|---|---|---|---|---|
| Litera Transact | External collaborator roles with assigned permissions | Document approval requests and signature tracking | Closing books and separate activity or approval reports | Several parties approving final documents |
| Legatics | Permissions across lists and document versions | Signing views with separate view and edit rights | Indexed binder plus separate list and audit exports | Shared conditions with different participant views |
| Existing Actionstep workflow | Client portal with folder permissions | Team records the approval process around its configured matter workflow | Documents and data export, with a closing index assembled by the team | Smaller closing within an established matter process |
| Controlled shared checklist | Access through the firm’s approved document store | Named editor records approval evidence and authorised signing version | Team assembles the checklist history and supporting files | Few participants and limited simultaneous changes |
A shared checklist needs one controlled master, stable condition identifiers and a record of changes. Circulating separate editable copies makes it harder to establish which instruction governs release.
Completion Conditions, Owners and Dependencies
Give every completion condition an owner, required evidence and named approver, with the next action it controls recorded beside it. A document being uploaded and money being received are different events. Describe each condition precisely enough that another lawyer can understand why it remains open.
For an illustrative estate asset realisation, the register could contain the following conditions. The example describes a team process, without assuming a product automatically enforces each dependency.
| Condition | Responsible person | Evidence | Approver | Dependent action |
|---|---|---|---|---|
| Agreed sale amount recorded | Instructing lawyer | Approved agreement and amount schedule | Supervising lawyer | Prepare expected proceeds calculation |
| Permitted deductions supported | Matter team member | Agreed deduction authority and supporting invoice | Completion lawyer | Confirm net amount expected |
| Net proceeds received | Financial reviewer | Receiving-account bank record matched to calculation | Completion lawyer | Consider authority to release |
| Final document approved | Drafting lawyer | Identified version and recorded party approvals | Person authorised for that party | Send approved version for signing |
| Release authorised | Completion lawyer | Funds conclusion and satisfied conditions | Authorised decision-maker | Carry out the recorded release instruction |
Use separate statuses for evidence received, under review, satisfied and outstanding. Where parties agree to waive or change a condition, retain the original wording beside the authorised decision. A completed upload task must not silently satisfy a funds condition.
An approved financial investigation can support a condition without reopening the investigation inside the closing checklist. Work on acquisition risks belongs in M&A due diligence, with the resulting approved output attached to the relevant completion item.
Control Party Access and Approved Documents
Give each external party access to the documents and actions needed for its part of completion. Keep internal advice separate from shared instructions. Specify who can upload a replacement document and who can approve it for signing.
Legatics’ signing permissions distinguish viewing from editing. Its documentation says an editing user can see all parties and signatories in the matter, even though document visibility follows list permissions. That distinction matters when several unrelated recipients share a workspace.
Litera Transact’s role documentation distinguishes access to approvals, signature tracking and closing books. Restricted checklist documents remain protected, but some approval-group information and signer names can remain visible. Set permissions around the information each participant can see, including these details beyond the document itself.
Record the final approved file’s version identifier with the approval. If a disputed amendment arrives, preserve the earlier version and the objection. The responsible lawyer records whether the change is accepted, rejected or awaiting instructions.
Replacement payment instructions require a separate authority record. Retain the old instruction, the new instruction and the independent confirmation used by the team. Changing an approver also needs a reason and the authority for that change. Neither event belongs only in an overwritten checklist cell.
Verify Funds Before Recording Completion
Record a funds condition as satisfied only when the required financial evidence supports the amount and event described in that condition. A queued payment shows an instruction. A payer’s uploaded receipt describes its claimed payment. The receiving-account bank record establishes the recorded credit for comparison with the amount due.
Consider this illustrative estate asset realisation. The agreed gross proceeds are $420,000, with authorised deductions of $8,000. The expected net receipt is $412,000.
Follow the Proceeds Through Completion
| Elapsed stage | Record available | Financial conclusion | Completion status |
|---|---|---|---|
| Before payment | Agreement and authorised deduction schedule | $420,000 less $8,000 leaves $412,000 expected | Funds condition open |
| Payment initiated | Payer’s instruction or receipt | Payment claimed, receipt still to be established | Await receiving-account evidence |
| First receipt | Bank entry of $410,000 | $2,000 remains unexplained against expected proceeds | Partial receipt recorded |
| Two business days later | Further bank entry of $2,000 | Total receipts equal $412,000 | Submit financial conclusion for approval |
| Release review | Receipt evidence and all other condition decisions | Completion lawyer decides whether release is authorised | Record that decision separately |
The financial reviewer records the receiving account and the source reference for each entry. If a further deduction explains the $2,000 difference instead, attach its authority and revise the calculation. An unexplained shortfall remains outstanding.
FinTrace saves lawyers and forensic accountants hours of statement review when the financial history spans many accounts or a large PDF bundle. The service returns a searchable, categorised Excel ledger and a clear findings report. Each finding identifies its source PDF filename and page, so the evidence behind a disputed receipt or transfer is already at hand.
FinTrace also flags suspicious transactions and follows transfers across related accounts. Its structured extraction, source-grounding checks and independent reviews bring the supplied statement evidence together for the financial assessment. The lawyer records whether that assessment satisfies the particular completion condition and authorises any release.
The workbook and report can be retained as supporting files in the closing record. Their delivery is a file handover. It does not imply a native connection between FinTrace and the transaction workspace.
Signing, Release and Unfinished Conditions
Approve the final document set before obtaining signatures, then record release authority as its own action. Keep the document identifier alongside every approval so a signature can be traced to the version the parties approved.
- Record the final versions and the parties authorised to approve them.
- Resolve disputed amendments and record fresh approval where the agreed document changes.
- Send the approved set for signing through the selected signing process.
- Retain the returned signed files and the associated signing evidence.
- Review the funds conclusion alongside the remaining conditions.
- Record the authorised release instruction, who carried it out and the evidence of completion.
Legatics’ signing guidance describes retrieving completed documents and associated signing certificates from the connected signing service. Its export guidance separately identifies signing data that cannot be exported through the matter export functions. Collecting the signed files and retaining the signing record therefore need explicit completion tasks.
If only part of the settlement completes, close only the conditions actually satisfied. Keep the remaining amount and responsible person visible. A changed amount needs a revised calculation with approval evidence, while an unresolved condition needs a decision on what remains blocked.
After completion, ongoing agreement obligations belong in legal contract management software. Carry the executed agreement into that later process with its surviving obligations identified.
Produce a Closing Record the Next Reviewer Can Use
Produce an indexed closing bundle that connects each completed condition to its documents and recorded authority. A folder of signed PDFs alone does not explain a partial receipt or why the team accepted a changed amount.
Retain the following components with matching condition identifiers.
- Approved and executed document versions, including any superseded version needed to explain a change.
- Condition history with owners, evidence references and recorded approvals or waivers.
- Authority records for amended instructions and the decision to release.
- Expected proceeds calculations, actual bank entries and the financial review conclusion.
- Outstanding items with amounts, responsible people and the next required action.
- An index that explains how these files and decisions relate.
The export formats affect how much assembly the team must do. Legatics documents separate list, binder and audit exports and identifies limits on exporting permissions and signing data. Litera describes closing books alongside approval and activity reporting. Actionstep describes full document and data export on request. Preserve the decision records as well as the document set in whichever approach you choose.
Legatics’ pricing page uses a tailored proposal. Actionstep’s pricing describes per-user pricing plus implementation fees. For Litera Transact, use the written commercial proposal to budget the required modules and deployment. Compare the total commitment, including setup and the team’s time maintaining templates.
The commercial schedule needs to distinguish staff licences from external-party access, with any signing charges identified separately. Record storage and retention terms alongside the cost of obtaining the closing record after the matter ends. A document download and a live practice-system integration are different deliverables.
FinTrace’s statement-analysis service is engaged per matter through a fixed base fee plus a per-page quote. It performs that analysis at a fraction of the cost of manual review or engaging a forensic accountant for the same work. Budget it against the statement-analysis workload, separately from the cost of coordinating signatures and approvals.
Choose the workspace whose handover preserves the reason each condition was accepted. Before authorising the purchase, put the proposed export contents beside the closing-bundle list and assign responsibility for every record the team must retain separately.
