Share Registers: Ownership Records and Corrections

A company share register traces membership through issues and transfers, while the supporting instruments and payments expose disputed holdings.

A share register is a company’s record of its members and their holdings. To resolve inconsistent entries, reconstruct the issues and transfers from their supporting documents, then identify who can authorise the correction. A payment can corroborate a transaction without establishing that the payer became a member.

What a Share Register Records

The register of members records membership in a particular company, with share details where the company has share capital. Start with the company’s exact legal name and Australian Company Number. Keep ordinary shares separate from preference shares or other classes, because their rights and movement histories can differ.

The Australian Securities and Investments Commission (ASIC) explains the information recorded in a members register. It includes names, addresses and entry dates, alongside share holdings, issue details, classes and paid or unpaid amounts. Special requirements and historical exceptions depend on the company and its shares.

A share certificate documents a holding. ASIC company information records details notified to the regulator. Compare both with the company’s register and supporting instruments when they disagree. An investor’s login to a listed-company registry is an access service, not a replacement for identifying the issuer and holding being investigated.

Registered membership also leaves a separate question about who receives the economic benefit. A beneficial ownership enquiry examines that relationship beyond the registered name. Keep any non-beneficial holding information with the membership evidence without assuming it resolves every trust or entitlement claim.

Collect the Issue and Transfer Evidence

Collect the register and the documents behind each disputed movement before proposing a replacement entry. Preserve every supplied version with its custodian and retrieval details, including electronic exports and any available change history.

  1. Request the existing register, earlier versions and relevant share certificates. Record who maintains it and whether the supplied copy covers all classes.
  2. Collect resolutions, applications and subscription records for each issue. Add the relevant agreements and evidence of any conditions to completion.
  3. Obtain transfer instruments, approval records and correspondence for transfers. Read the company constitution for the rules governing the proposed movement.
  4. Collect available ASIC notification history and acknowledgements. Compare what the company recorded with what it reported.
  5. Obtain the payment records for disputed consideration. Identify the payer, recipient, amount and stated purpose before matching a receipt to a share transaction.

For each event, record the parties and their capacities, class and number of shares, amounts paid or unpaid and supporting document references. Keep the transaction’s asserted effective date separate from the later administrative entry. A sequence that records approval after an alleged transfer deserves an exception entry and legal analysis, not an invented earlier approval.

ASIC explains shareholder access to the register. Use the statutory inspection or copy process where voluntary production is incomplete. A register request does not itself obtain every underlying agreement or payment record, so identify those additional documents separately.

Reconstruct the Membership History

Reconstruct holdings by carrying each supported movement forward from an evidenced opening position. Make a separate schedule for each class, then reconcile each class total with the company’s issued-share records.

Fictional Ordinary-Share Movements

This fictional company starts with 100 fully paid ordinary shares. Alice holds 60 and Ben holds 40. A supported issue creates 20 ordinary shares for Cara at $10 each, with $120 paid and $80 unpaid. A later supported transfer moves 15 fully paid shares from Alice to Ben.

The issue increases total ordinary shares from 100 to 120. The transfer changes the holders but leaves that total at 120. Cara’s $80 unpaid balance remains attached to her 20-share holding in this example. Any preference shares need their own movement and payment schedule.

Compare the $120 subscription receipt with the bank record and accounting entry. Investigate a missing or differently described receipt without treating it as automatic proof that the issue failed. Conversely, a $200 deposit alone does not establish that 20 shares were validly issued or registered.

FinTrace analyses supplied bank statements into a searchable ledger and findings report, with source PDF and page references. That gives practitioners the payment evidence for disputed consideration without repeating the statement review. The company’s statutory register and the legal basis for membership remain separate records to reconstruct.

Keep inconsistent names, missing instruments and competing entitlement claims in an exception schedule. Identify the affected movement and what each version would change. For a wider ownership conflict, the shareholder disputes guide addresses the dispute beyond the register discrepancy.

Correct the Record Through the Proper Route

Choose the correction route from the nature of the discrepancy and the authority supporting the change. Preserve the earlier entry and the reason for every amendment.

A demonstrable spelling or transcription error needs evidence of the intended entry and confirmation of the responsible company authority. Record the original text, corrected text and supporting instrument. Where another person disputes the identity or holding, resolve that entitlement issue before treating the change as clerical.

A proposed transfer or issue needs the applicable company action and supporting documents. Identify required approvals, execution steps and notices under the governing rules. Entering a new name cannot supply a missing transaction or approval.

For contested rectification, section 175 of the Corporations Act 2001 permits the company or a person aggrieved to apply to the Court for correction. Select the court with jurisdiction and its applicable corporations procedure. Identify the disputed entries, affected parties and precise correction sought. Preserve competing evidence for determination instead of overwriting the register on one claimant’s instructions.

ASIC’s court-order guidance distinguishes correction of ASIC’s register from correction of a company’s member register. Seek relief directed to the record that is wrong. A lodgement with ASIC is an administrative reporting step, not an adjudication between rival claimants.

Verify the Holding and Its Remaining Limits

Verify the completed register against the authorised change and the movement schedule before using it for a decision. Check every affected holder, class and share count, including paid and unpaid amounts. A transfer must balance between holders, while an issue or cancellation must reconcile to the changed issued total.

Check related certificates, resolutions and notifications against the same result. ASIC requires notification of share issues within 28 days. Other reporting duties depend on the event and company type. Record the applicable requirement, lodged confirmation and any outstanding step separately.

Keep an amendment record stating the authority, supporting documents, effective change and actual entry date. Retain a copy of any court order and verify that its reporting directions were completed. An unresolved reporting step must remain visible even when the company has corrected its own record.

The reconciled register supports identifying registered holdings for voting or distributions, subject to the class rights and governing rules. It does not resolve every beneficial interest, trust claim or challenge to transaction validity. Before the next meeting or distribution, identify any remaining dispute that affects the proposed exercise of those rights.
