Subrogation: Payments, Rights and Recovery

Paid a liability owed by someone else? Examine subrogation through the discharged debt, original creditor rights and evidence of the payment.

Subrogation substitutes one party into another party’s rights, allowing recovery through an identified creditor position where the legal basis supports it. A payment is the starting fact. The liability it discharged and the rights previously held by the creditor determine the next inquiry.

For an Australian commercial dispute, build a payment account beside a rights schedule. That lets the solicitor distinguish the money supplied from the security or recovery right the payer asserts.

What Subrogation Does in a Financial Claim

Subrogation can give a payer recourse through rights previously held by a creditor. Identify the payer, original creditor and debtor, then record the alleged source of the right of subrogation.

Equitable subrogation arises under equitable principles. Express contract terms can address subrogation too, so examine both the relationship and the agreed terms. Payment alone does not automatically transfer every right or security.

In Bofinger v Kingsway Group Limited [2009] HCA 44, the High Court examined guarantors’ payments and recourse to the first creditor’s securities. Its reasons distinguish different subrogation settings and examine the actual guarantee terms. The decision supplies an Australian starting point for analysing a surety’s position, rather than a universal rule for every third-party payment.

Insurance also involves subrogation after an insurer meets a covered loss. The example below concerns a different problem: a replacement funder supplies money to discharge a borrower’s secured debt.

An equitable lien can concern security for a contribution to an asset. Subrogation instead requires identifying whose existing rights the claimant seeks to use.

Identify the Liability and the Rights Claimed

Identify the precise debt and original creditor rights before treating a transfer as evidence of substituted rights. Obtain the original loan agreement, guarantees and security documents. Add any variations, settlement agreement and discharge records.

Record the borrower’s legal name and capacity, the creditor’s name and the facility identifier. Check which property each security covers and whether it secures other liabilities. Match the asserted right to the relevant clause or instrument.

Keep an assignment separate from subrogation. Record any executed assignment and the rights it identifies. Put an express reimbursement or repayment term in its own entry, with the person entitled to payment and its conditions.

For the replacement funding, obtain the advance agreement and payment directions. Establish whether the account holder paid as lender, guarantor, trustee or agent. A shared director or similar company name does not answer that question. Where trust capacity is involved, the trustee indemnity inquiry concerns the trustee’s liabilities and recourse to trust assets.

Reconstruct the Payment and Discharge

Follow the replacement advance through each account and reconcile the creditor’s application of the money. A transfer instruction records an intended payment. The receiving records and creditor ledger show what happened to the liability.

Hypothetical Replacement Advance

Assume Alder Funding Pty Ltd lends Harbour Projects Pty Ltd $420,000 under a written advance agreement. Harbour owes Original Lender Ltd a secured debt. Every name, figure and document reference in this example is invented.

EventAccount holder and capacityMovementSupporting referenceResult
AdvanceAlder Funding, replacement lender, pays Harbour Projects, borrower$420,000 leaves Alder and reaches HarbourAlder statement p 2, Harbour statement p 4 and advance agreement cl 2Harbour receives the advance
Settlement paymentHarbour Projects, borrower, pays Original Lender, creditor$400,000 leaves Harbour and reaches the creditorHarbour statement p 4 and creditor settlement receipt R1Gross settlement receipt is $400,000
Overpayment refundOriginal Lender, creditor, refunds Harbour Projects, borrower$5,000 returns to HarbourCreditor ledger L1 and Harbour statement p 5Net creditor receipt is $395,000
DischargeOriginal Lender records Harbour’s facility as satisfied$395,000 applied against $395,000 dueFinal creditor statement L1 and discharge D1Facility balance is zero

Harbour retains $25,000 from the advance after settlement and refund. Reconcile it as $420,000 received, less $400,000 paid, plus $5,000 refunded. The amount applied to the old debt is $395,000.

Those figures answer different questions. Alder advanced $420,000 under its own agreement. The creditor applied $395,000 to Harbour’s old liability. Keep the $25,000 residual visible and follow any later use through Harbour’s statements.

If the creditor instead leaves $8,000 outstanding, record partial satisfaction and obtain its explanation. Do not convert the gross transfer into a finding that the whole debt was discharged.

Check Competing Claims and Remaining Balances

Separate the supported payment amount from the extent and priority of the claimed subrogation rights. In Bofinger, full satisfaction of the first creditor and the meaning of guarantee restrictions affected the analysis. Its discussion of partial payment also requires attention to the creditor’s remaining position.

Give the solicitor a security chronology showing each secured party and its source documents. Include priority agreements, release terms and restrictions on a payer’s recovery. Identify other payers and the amounts they supplied. Record each creditor balance after payments and realisations.

The example establishes no ranking between Alder and another secured creditor. The solicitor must assess the replacement advance and competing claims under the applicable authority and finance documents. A zero facility balance resolves the accounting question without deciding Alder’s legal entitlement.

Marshalling equity asks a different question about competing securities and recourse to another fund. Keep that analysis separate from identifying a payer’s substituted rights.

Maintain one recovery account across alternative claims. If Alder later receives $60,000, record its allocation and credit the overlapping recovery when calculating the outstanding claim. Adding the new loan claim to the asserted subrogation amount would count the same settlement funding twice.

Prepare a Rights and Evidence Schedule

Give each asserted right one row with its source document and supporting payment. Show the remaining amount separately from unresolved entitlement conditions.

Hypothetical Rights Schedule Before Recoveries

Asserted rightSource documentSupporting paymentRemaining amount assertedUnresolved condition
Repayment of Alder’s advanceAdvance agreement cl 2$420,000 advance, Alder p 2 and Harbour p 4$420,000 principal, assuming no repaymentsRepayment terms, due status and any agreed adjustments
Subrogation to Original Lender’s identified securityOriginal security S1, advance agreement and discharge D1$395,000 net debt payment, receipt R1 and ledger L1$395,000 before any overlapping recoveryBasis for substitution, recoverable extent and competing rights

These are alternative or overlapping routes to recovery, not a combined $815,000 entitlement. Record interest and costs separately under the instrument or legal basis asserted.

If discharge D1 is missing, state what the creditor ledger establishes and request the release evidence. The missing document changes the evidentiary account. It does not itself prove that a subrogation claim fails.

If a related company makes the settlement payment, add that company’s account and the instruction authorising its role. Follow the money into and out of that account. Do not attribute its payment to Alder solely because the companies share ownership.

FinTrace saves legal teams and forensic accountants hours of statement conversion and review when building this payment account. The service traces transfers across supplied accounts and delivers a searchable Excel ledger with a clear findings report. Each finding identifies its source PDF filename and page, putting the evidence beside the analysis.

Use that statement analysis to populate the payment and balance fields. The instructed lawyer determines entitlement and priority from the finance documents and applicable law. Any expert supplies their own opinion on the questions within their instructions. Hand over the schedule with each unresolved condition attached to the exact right it affects.
