Company approval and execution

  • Verify the company identity, constitution, decision-making authority and approval record.
  • Verify each attorney’s identity, appointment and any conflicts. Confirm joint or separate action matches the approval.
  • Match each authorised act to the transaction, asset identifiers, amount limits and duration.
  • Select and complete the company execution method, signatory capacities, actual dates and any required attestation.
  • Check governing law, the instrument form and any registration or recipient requirements for the transaction.
  • Review revocation arrangements and notification recipients. Retain the signed instrument and evidence of authority.

Your particulars stay in this tab. Reloading clears changes. Export your draft before leaving.

Identify the Company and Attorney

This corporate power of attorney template assembles a company-granted draft from your instructions. Enter the company’s legal name, ACN and registered address.

Enter every attorney’s full legal name and address on a separate line. Choose whether the attorneys must act jointly or each may act separately.

Blank identity and approval fields stay marked “Completion required” in the document. The ACN check examines its format only. Confirm the company and each attorney against the source records.

Define Powers and Restrictions

Describe the financial transaction, then enter one authorised act per line. Separate its act, asset identifier and limit with vertical bars.

For example, “Sign settlement direction | Receivable INV-204 | Maximum 25000” ties one signing power to one receivable and an express limit. The preview repeats that relationship.

Enter the start condition, expiry and additional restrictions. Delegation starts prohibited. Selecting limited delegation requires separate terms identifying the permitted delegate and acts.

Record how revocation is communicated to attorneys and people relying on the appointment. The draft copies your terms without sending notices or updating a register.

Load example inserts a fictional receivable settlement with two attorneys acting jointly. Replace its fictional identities and complete its blank ACN, approval and execution particulars before use.

Check Approval and Execution

The missing-field list identifies unanswered particulars. The separate checklist remains even when every field is populated, because entered words do not prove authority or capacity.

Review company approval and execution under sections 126 and 127 of the Corporations Act. Section 126 concerns individuals acting with company authority. Section 127 addresses execution by the company itself.

The governing-jurisdiction choice records your instruction. It does not select an execution block or establish compliance with state or territory instrument requirements.

For NSW land dealings, section 52 of the Powers of Attorney Act addresses registration. The instructed solicitor must check the applicable instrument and transaction requirements before execution or lodgment.

You can edit the generated document and copy or download the edited wording. Changing an input regenerates the document and replaces manual edits.

A populated template does not establish authority, capacity or valid execution. Have the instructed solicitor settle the powers and complete the execution wording before anyone signs.
