Enter the Venture and Its Participants

This joint venture agreement template turns practitioner-selected terms into an editable Australian agreement scaffold. Start with the participants’ instructions, then complete the unresolved terms before legal review.

Enter every party’s legal identity and capacity on its own line. Identify an individual’s personal capacity or the entity and capacity in which a representative signs.

Keep the project property schedule separate from party identities. Record who owns each asset, which rights the venture can use and what happens to new intellectual property.

The structure choice records your instructions. It does not determine whether the arrangement creates a partnership or other legal relationship. Company governance requires separate company and shareholder documents.

Build Contributions and Operating Schedules

The contribution schedule records each named participant’s cash amount and timing. Enter amounts as plain digits with up to two decimal places. Put non-cash property and participant loans in their separate fields.

Choose whether further funding needs a separate agreement or follows an agreed call procedure. Complete the call limits, notice and consequences in the draft where funding calls are selected.

Distribution shares must name every participant once and total 100%. They remain separate from cash contributions, ownership of project property and loan repayment rights.

Record decision approval, reserved matters and spending limits. Set out payment authority separately from financial information access. Complete who prepares accounts, what records each participant receives and the delivery periods.

The fictional example has cash contributions of $90,000 from Alex Example and $60,000 from Morgan Example, both due within 10 business days of signing. Its distribution shares are 60% and 40%.

Review Exit Choices and Unresolved Terms

The default, deadlock and exit choices insert fixed drafting prompts. Complete their triggers, notice periods and final outcomes. The fictional example deliberately leaves valuation and liability treatment open.

A mediation selection needs appointment and referral terms. A transfer selection needs the offer procedure, consent rules and settlement terms. Enter valuation instructions separately, including the valuation basis and appointment process.

Review the actual arrangement and conduct alongside the draft. The High Court’s decision in United Dominions Corporation Ltd v Brian Pty Ltd addresses fiduciary obligations in a venture relationship.

Stephen Gageler’s discussion of commercial fiduciary relationships explains why the relationship and undertaking require analysis beyond a label.

Check governing law, property formalities, partnership rules and related agreements for the selected jurisdiction. Reconcile the final terms with leases, finance, security and intellectual-property arrangements.

Copy or Download the Draft

The blank template has no agreed legal defaults. Load the fictional example to inspect a populated scaffold, or enter the actual instructions to create your own draft.

Copy and download use the text currently in the editor, including manual edits, both schedules and the review checklist. A text file remains editable in a word processor.

Changing any particular rebuilds the draft and replaces manual edits. Invalid allocations or malformed schedules withhold the draft and disable export until corrected. Missing terms remain labelled for completion.

Your entries are processed in this tab. The tool sends no particulars to a server and does not save them in browser storage. Reloading clears them.

Confirm each party’s capacity and execution method before adding signature blocks. The Corporations Act addresses corporate capacity and execution in sections 124–127. Individual and trustee execution needs its own jurisdiction and authority checks.

Use the final practitioner-review checklist to complete the instrument and reconcile it with the related agreements before signing.
