Enter the Company, Parties and Agreed Rules
This shareholder agreement template assembles a fixed Australian governance scaffold from instructions already agreed with your solicitor. It supports one class of shares.
Enter the company’s identity and every shareholder’s holding. Each line uses a legal name, a vertical separator and a whole share count. Holdings must equal issued shares.
Select a voting prompt and identify the decisions it covers. Reserved matters need their own approval rule. Blank choices remain marked for completion.
The blank format starts without agreed terms. Load the fictional example to see Alex Example holding 60 shares and Morgan Example holding 40 of 100 issued shares.
Populate Funding and Information Clauses
Record capital contributions separately from shareholder loans. State amounts, contribution dates and the approval needed for future funding. Put loan repayment and interest terms in a separate loan instrument.
Enter the agreed reporting frequency and delivery period. Record bank-viewing access separately from payment authority and the bank’s mandate.
A field selection records a proposed contractual term. Statutory access rights and lawful distributions remain subject to the Corporations Act.
Review Transfer, Exit and Deadlock Choices
The transfer, valuation and deadlock choices insert fixed prompts. Complete their triggers, notice periods and procedures in the editor before treating them as operative clauses.
The fictional example leaves valuation unresolved. Selecting an independent valuer still requires appointment rules, valuation instructions and a process if the parties cannot agree.
Compare the draft with the constitution, share register and share-class rights. Resolve inconsistent voting requirements and review directors’ duties before signing.
The Corporations Act addresses company execution in section 127, constitutions in sections 134–140 and directors’ duties in sections 180–184. ASIC’s officeholder guidance explains the duties that continue to apply.
Copy or Download the Agreement
Copy or download the current edited text with its unresolved-field and solicitor-review checklists. The text file opens in a word processor for further drafting.
Changing an input rebuilds the scaffold and replaces manual edits. Download the edited version first. Invalid holdings withhold the draft until corrected.
Review every party’s capacity and authority before adding signature blocks. Confirm the company’s chosen execution method under section 127 or another applicable method. A populated scaffold is a draft for review.
The shareholder agreement guide explains the drafting workflow and advice questions. Keep the reviewed agreement with the constitution and execution records.
