Record the Shares and Agreed Consideration

This shareholder buyout agreement template records an agreed share sale between a seller and another buyer. Enter the company’s identity, share class and quantity alongside the agreed price.

A company purchasing its own shares needs a company buy-back instrument. Selecting that transaction withholds the share-sale draft. An asset sale also needs a separate instrument.

Start with blank particulars or load the fictional example. It records a sale of 50 fully paid ordinary shares for $125,000.

Select the currency used in the price and payment records. A change of currency changes the label only. It does not convert the entered amounts.

Set Payment and Completion Conditions

Enter one instalment per line, with the amount followed by a vertical separator and its due date or event. Instalments must total the price.

The fictional example has $25,000 payable on signing and $100,000 at completion. Its $25,000 recorded payment leaves an unreconciled difference of $100,000.

Record each required consent and any pre-emption waiver. Outstanding approvals remain on the checklist even when you enter their particulars.

State the documents to exchange and the conditions that trigger completion. Identify any creditor guarantee and obtain the creditor’s release. An agreement between buyer and seller alone cannot release that creditor’s rights.

Review and Export the Buyout Draft

Review the populated draft in the editor, then copy or download its current text. Both actions retain your edits and the checklist. Changing a particular rebuilds the draft.

Reconcile the payment comparison to the underlying bank records. An entered payment amount is not evidence of receipt. An excess remains visible for investigation.

Check the constitution and share register before preparing the transfer. The Corporations Act addresses company execution in section 127 and transfer instruments and registration in sections 1071B and 1072F.

ASIC’s transfer guidance explains notifications. Signing this draft alone does not establish registration or completion. ASIC’s buy-back guidance covers the separate company purchase process.

Confirm the parties’ capacity, authority and execution method before adding signing blocks. Review warranties, tax and duty for the transaction. The shareholder agreement guide explains the ongoing exit and deadlock framework.
