Choose the Lending Direction and Parties
This shareholder loan agreement template assembles a fixed general loan draft from your entered terms. Select who advances the money before completing the parties.
The lender and borrower reverse when you change the direction. Use each party’s legal name and capacity, including trustee details where relevant.
A company-to-shareholder selection flags a separate Division 7A assessment. The ATO decision tool assesses whether a private-company transaction gives rise to a deemed dividend.
If your assessment calls for a complying-loan pattern, use the Division 7A loan agreement template. This general instrument does not select that tax treatment.
Enter the Agreed Loan Terms
Enter the agreed advance or facility limit and describe when funds become available. A facility limit does not prove how much the borrower has drawn.
State the interest method, accrual basis and payment timing. For interest-free lending, record that agreement explicitly. A blank interest field stays unresolved.
Complete the repayment schedule and final due terms. Describe any security and the agreed default events, notice and remedy process. Security particulars require separate documentation where applicable.
The illustrative example has a $75,000 advance and a 24-month term, with monthly principal repayments of $3,125. Its interest method remains blank for agreement.
Export and Check the Instrument
Edit the populated draft, then copy it or download the current text. Changing an input rebuilds the document and replaces manual edits.
Compare the advance and repayment figures with bank statements and the loan ledger. Enter source references. Matching figures still need a check of the underlying transfer and its purpose.
Unpaid or unconfirmed advances remain unchecked. A facility needs a separate drawdown reconciliation. The agreement cannot prove an earlier payment or create an earlier execution record.
Confirm corporate authority, conflicts and required approvals. Section 127 of the Corporations Act sets out company execution methods. Use execution blocks suited to the parties and record actual signing dates.
The shareholder loan agreement guide explains lending direction and the source-record checks. Retain the reviewed instrument with its approvals and payment evidence.
