ATO Trustee Declaration and SMSF Duties
Check the ATO trustee declaration, SMSF trustee appointments and company records before testing a disputed fund payment or change of control.

The ATO trustee declaration records that an SMSF trustee or corporate trustee director understands their duties. It belongs beside the appointment records when you review a disputed fund payment. A signed declaration alone does not establish who authorised the payment or whether it complied with superannuation law.
For family lawyers, estate lawyers and forensic accountants, the practical task is to connect each payment with the officeholders and rules applying at that time. Start with the official declaration, then build the authority history before classifying the money movement.
Find and Check the ATO Trustee Declaration
Use the ATO-issued trustee declaration, NAT 71089, including its instructions. Each new individual trustee and each new director of a corporate SMSF trustee completes a separate declaration. The form records their understanding of the responsibilities of managing the fund.
The ATO form requires signature within 21 days of becoming a trustee or director. The person enters the fund’s full name and signs and dates the declaration. A witness aged 18 or over also signs and dates it. The witness confirms the signing, without certifying every later fund transaction.
Keep the declaration while the person remains a trustee or director, or for 10 years, whichever is longer. Retention can continue after the fund winds up. The completed form stays with the fund records and goes to the ATO only if requested.
Section 104A of the Superannuation Industry (Supervision) Act 1993 creates the declaration duty. Existing officeholders must ensure that a newly appointed person signs within the required period. An education direction creates a further signing requirement within 21 days after completing the directed course.
Appointments Before 2007
The declaration requirement began during 2007, with its exact commencement boundary stated in section 104A. A person whose continuing appointment predates that boundary is not automatically required to sign solely because they remain in office. A later appointment as director of a new corporate trustee is a separate event. An education direction can also create a signing obligation.
For an older file, compare the appointment with the statutory boundary and the ATO’s declaration compliance guidance. Do not infer a breach merely from the absence of a declaration for a pre-2007 appointment. Equally, the fund’s early establishment does not exempt every person appointed later.
Record the form edition separately from the appointment and signing dates. NAT 71089 is available in a 2025 edition. Retain the version actually signed and the instructions applicable to that appointment. A recent blank form cannot establish what an officeholder signed years earlier. Preserve any unexplained delay between appointment and signing.
Declaration, Consent and Deed
A written consent to appointment records agreement to take office. The ATO declaration records understanding of the officeholder’s duties. A general consent-to-act letter does not replace NAT 71089 where the approved declaration is required.
The trust deed sets the fund’s governing rules and appointment powers. Read it with the executed appointment documents to establish how the person took office. A statutory declaration about witnessing or identity has a different purpose again. Keep these documents separately identified, even when an establishment pack groups them together.
Incorrect approach: accept a signed ATO declaration as proof that a later withdrawal was authorised. Correct approach: use the declaration for the duty acknowledgment, then test the withdrawal against the deed, payment records and applicable law.
Identify Individual and Corporate SMSF Trustees
Identify the legal trustee first, then the people who held the relevant office during the payment period. With individual trustees, the people hold the trusteeship. With a corporate trustee, the company holds it and its directors act through the company.
An SMSF is a self-managed superannuation fund. “Super trustee” is informal wording for a superannuation trustee and does not establish that a fund is an SMSF. Retail and industry super funds have different trustee arrangements. Confirm the fund identity before applying SMSF membership rules.
The ATO’s structure requirements generally connect fund membership with trusteeship or directorship. A multiple-member SMSF can have two to six members. Each member is generally an individual trustee or a director of the corporate trustee, and each officeholder is generally a member. Employment relationships are restricted unless the members are relatives.
Single-member funds have separate rules. An individual-trustee fund needs two trustees, including the member. A corporate trustee can have the member as sole director, or two directors under the applicable relationship rules. State and territory trustee limits can affect an individual-trustee structure. Record any representative arrangement separately, including the appointment authority and the member represented.
Check eligibility as well as names. The ATO’s appointment guidance covers trustee eligibility. Examine age, legal capacity and disqualified-person status. For directors, also check ASIC’s company officeholder requirements, including director identification and company-law disqualification. A bank mandate is evidence of account access, not the entire appointment history.
Individual and Corporate Trustee Records Compared
The ATO’s comparison of trustee structures explains the administrative differences.
| Record or event | Individual trustees | Corporate trustee |
|---|---|---|
| Appointment evidence | Deed powers, written consents and individual appointments | Trustee company appointment plus director consents and company records |
| Fund asset ownership | Identify the individual trustees holding assets for the fund | Identify the company holding assets as trustee for the fund |
| Officeholder leaves | Trustee change can require asset ownership documents to change | A director change usually leaves the same company as trustee |
| Costs and obligations | No trustee-company registration or annual company review fee | Company registration and annual review fees, with company-law obligations |
| Handover | Preserve outgoing and incoming trustee records | Preserve company continuity and every director’s authority period |
Corporate continuity can reduce title changes when directors change. It does not remove the need to document who controlled the company. Individual trustees can avoid company costs, while a later trustee change can create more title administration. These are evidence and administration differences, not a recommendation about which structure a client must choose.
For example, “Harbour Trustees Pty Ltd as trustee for Harbour Super Fund” identifies a company acting in a fund capacity. It does not make the fund’s bank balance the company’s own beneficial property. Match the deed and account-opening records to the bank account. Our corporate trustee guide explains the wider company-capacity question.
Test Fund Payments Against Authority and Duties
Test a questioned payment by matching the money movement with its stated purpose and the authority held when it occurred. Keep the bank description as one item of evidence. Obtain the underlying documents before deciding whether the payment was a benefit, expense reimbursement, investment or other transaction.
The SIS Act supplies several separate tests. Section 62 contains the sole purpose test. Sections 52B and 52C address trustee covenants and corporate-director care. Section 65 prohibits lending fund money or giving financial assistance to members or their relatives. A related-party payment needs its actual transaction identified before applying the relevant restriction.
For a purported member benefit, regulation 6.17 and the payment standards restrict when and how benefits can be paid. Compare the claimed payment basis with the member’s records and the applicable condition of release. A trustee resolution does not itself satisfy a condition of release.
Use the following sequence for the payment review:
- Locate the debit in the original fund statement and record its source page. Match the recipient account where records establish it.
- Identify the trustee or company directors at that time. Compare their appointment records with the mandate and payment approval evidence.
- Obtain the resolution and supporting transaction documents. Compare any invoice or benefit request with the payment’s amount and recipient.
- Compare the accounting entry with member records and the receiving statement. Record whether the claimed purpose is supported, contradicted or still unexplained.
- Give the instructed practitioner the transaction evidence and the relevant duty separately. Retain competing explanations that the documents have not resolved.
A Fictional Payment Review
Suppose Harbour Super Fund pays $24,000 into a member’s personal account. The bank description says “reimbursement”. The accountant’s ledger calls it a member benefit. The available invoice shows a $9,000 fund expense paid personally by that member.
The $15,000 difference requires explanation. Obtain the remaining invoices, the approval record and the member-benefit documentation. Test whether the member met the payment conditions if a benefit is claimed. If the explanation becomes a loan to the member, section 65 is directly relevant.
The file can contain an accounting discrepancy and missing authority evidence at the same time. A potential contravention is a further legal assessment. The $24,000 description alone does not prove misappropriation, and the signed trustee declaration does not resolve the conflicting records.
FinTrace saves professional teams hours of statement conversion and review when payments span many accounts. Its forensic bank-statement analysis service follows transfers and flags suspicious transactions in a searchable ledger and written report. Each finding identifies the source PDF and page, keeping the underlying evidence at hand for the practitioner’s assessment.
Record a Trustee Change Without Losing the History
Preserve each outgoing and incoming officeholder’s authority period in the handover documents. Preserve the documents governing the earlier period. Replacing names in a current register can otherwise hide who acted when the disputed payment occurred.
- Read the deed’s appointment and removal powers. Retain the executed retirement or removal document and the new appointment, including any conditions on effectiveness.
- Reconcile member records with trustee or director records. Keep written consents and declarations alongside the relevant appointment, without changing historical signatures or dates.
- For a corporate trustee, compare the company register, constitution and director appointment or cessation records. Distinguish a director change from replacement of the trustee company itself.
- Check asset titles and bank records. Record changes to ownership documents where required and preserve the old mandate alongside the new one.
- Retain ATO and company notification receipts. The ATO’s notification guidance requires notification of fund changes within 28 days. Corporate trustee director changes also require ASIC notification.
- Reconcile the final statement under the previous authority period with the opening records under the next. List each transfer separately from a change to an account’s name or signatories.
Carry the member balances through the same handover. For example, an unchanged bank balance after a director change supports continuity of that account’s money. It does not establish that the director appointment was valid. Conversely, a transfer between fund accounts does not by itself prove that a member received a benefit.
Where the dispute follows separation, SMSF divorce and superannuation splitting involves additional steps. A trustee change and a financial reconciliation do not implement a divorce split. Keep the authority chronology and transaction schedule ready so the instructed practitioner can distinguish control of the fund from entitlement to its benefits.
