Rescission: Unwinding a Transaction

Can your client unwind the transaction? Assess rescission through the alleged ground, later conduct and the money or property each side can restore.

Rescission unwinds a transaction on an established legal ground, with money and property restored between the parties. For an Australian financial dispute, assess the ground separately from later conduct and the practical steps needed to restore both sides. A bank transfer proves movement of money. Its reversal depends on the legal basis for relief.

What Rescission Seeks to Undo

Rescission seeks to set aside the transaction from its beginning. Start by naming the arrangement your client wants undone and identifying everyone whose position would change. Record the contract or deed, the parties’ capacities and each transfer made under it.

A person might sign personally, as trustee or for a company. Keep those capacities distinct from the account through which payment passes. A director’s personal payment towards a company purchase needs an explanation of who paid, who contracted and what the payment discharged.

Termination for breach ordinarily ends future performance while leaving accrued rights to be assessed. Rescission addresses the transaction itself. A standalone repayment claim asks whether someone must return money, which can require a different inquiry.

Incorrect approach: describe a request for the purchase price back as proof that the transaction has been rescinded.

Correct approach: identify the transaction and ground, then specify what each party would return if rescission is available.

Rectification concerns correcting an instrument that fails to record the relevant agreement or intention. Corporate voidable transactions involve a separate statutory avoidance inquiry. Neither label substitutes for identifying the rescission claim actually advanced.

Identify the Ground and the Relevant Conduct

The asserted ground determines which evidence the solicitor needs and which legal route requires assessment. This workflow focuses on equitable rescission following alleged fraudulent inducement. It does not assume that common-law and equitable relief have identical requirements.

For an alleged false statement about a business’s takings, collect the statement itself and the records said to contradict it. Preserve the sales materials, messages and executed contract. Record who received the statement, when they received it and how it affected the decision to transact.

In Nadinic v Drinkwater [2017] NSWCA 114, the Court of Appeal distinguished common-law fraud from equitable fraud. It also stressed the need to establish the fraud actually alleged. A financial discrepancy alone does not fill the gap between a disputed statement and the legal ground.

The fuller fraudulent misrepresentation inquiry examines the representation and inducement evidence. Here, use that material to identify why this particular transaction is challenged. If the asserted ground is mistake or another equitable wrong, obtain instructions on that doctrine before borrowing the fraud analysis.

For every disputed payment, separate the statement fact from the allegation. “The buyer paid $180,000 to the seller” records an observed transfer. “The seller induced that payment by fraud” requires evidence beyond the transfer.

Check Election and Intervening Dealings

Later conduct can affect whether the client can unwind the transaction. Build a chronology showing discovery of the alleged problem alongside what the client knew and did next. Include notices, legal advice and continued performance, as well as repayments and negotiations.

The High Court’s discussion in Allianz v Delor Vue [2022] HCA 38, paragraphs 38 to 53, explains election between inconsistent rights. Knowledge and conduct matter to the assessment of affirmation. Give the solicitor the actual communications and surrounding facts, including explanations for payments made after discovery.

In Nadinic, paragraphs 32 to 33, the Court explained that delay can affect equitable rescission. Its later discussion considered changed dealings during the period before relief was sought. Record elapsed time together with what changed during it. Do not turn delay into an invented universal deadline.

Use separate chronology entries for:

  • The first information suggesting the representation was false, and later information that changed the client’s understanding.
  • Any demand, purported rescission or agreement to keep performing.
  • Payments accepted or made after discovery, including the reason given for them.
  • A resale, security interest or transfer involving someone outside the original bargain.
  • Steps taken to preserve the asset or offer its return.

Third-party dealings need their own documents. Identify the recipient, consideration paid and any notice of the dispute. Ask the solicitor how the proposed orders would affect that person’s interest. Preserve evidence supporting continued acceptance of the bargain as carefully as evidence supporting rescission.

Build the Restoration Account

A restoration account records what both parties received and what each can give back. In Alati v Kruger [1955] HCA 64, the High Court explained equity’s ability to make adjustments that achieve substantial restoration. Exact physical return was not required for every item. The orders dealt with property still available and monetary allowances for other items.

The following equipment purchase is hypothetical. A buyer pays $180,000, receives machinery and later receives a $12,000 partial refund. The buyer still holds the machinery and has used it for four months. Maintenance costs $3,000. The parties dispute the value of that use and the machinery’s condition.

Hypothetical Restoration Inputs

ItemBuyer’s positionSeller’s positionTreatment for review
Purchase paymentPaid $180,000Received $180,000Record gross payment with its source
Partial refundReceived $12,000Paid $12,000Credit once against the same purchase payment
MachineryHeld by buyerTransferred to buyerIdentify return arrangements and condition
Four months’ useBuyer used machinerySeller lacked its useObtain valuation instructions for any proposed allowance
MaintenanceBuyer paid $3,000Treatment disputedRetain invoices and seek legal instruction
Interest and other adjustmentsUnassessedUnassessedKeep separate until the basis and calculation are instructed

The outstanding purchase-price component is $168,000 before any other adjustment: $180,000 less the $12,000 refund. That arithmetic is not a final remedy calculation. Machinery return and any legally allowed adjustments remain separate inputs.

Classify each entry as an item available for return, a proposed monetary adjustment or an unresolved legal treatment. If machinery has already been recovered, record that recovery once. Keep the value attributed to the recovery separate from a cash refund.

Missing statements leave the payment history incomplete. A transfer through an intermediary requires evidence explaining that person’s role. An asset no longer held requires evidence of its disposal, proceeds and possible substitute adjustment. Each changes the restoration problem without automatically deciding whether rescission fails.

Distinguish Rescission, Restitution and Compensation

Rescission addresses whether the transaction can be undone. Restitution can concern recovery of a retained payment on a separately established basis. Compensation addresses legally recoverable loss. The same events can raise alternative claims, but each needs its own legal basis and account.

For the hypothetical purchase, keep the proposed return of machinery beside the purchase-price refund. Record an alternative loss calculation separately, with its assumptions. A claim based on equitable compensation requires its own established equitable breach and loss analysis.

Nadinic, paragraphs 139 to 142, explains that practical justice does not give a court general freedom to rewrite the bargain. Restoration remains the governing objective. Keep requested adjustments connected to the parties’ positions before the transaction.

Use one recovery register across the alternative calculations. It must identify refunds and recovered property, the obligation each credit satisfies and where that credit enters each calculation. This exposes duplicate recovery before figures reach a pleading or settlement proposal.

Complete the Transaction and Evidence Matrix

Give the solicitor one matrix row for each challenged transaction, with linked schedules for the conduct chronology and restoration account. Each row needs the asserted ground and precise relief sought. Include contrary evidence and identify decisions still needed from the instructed professionals.

FinTrace saves legal teams and forensic accountants hours of statement conversion and review when assembling the money side of this account. The service brings supplied accounts into one searchable ledger and provides a written findings report. Each finding cites its source PDF filename and page, so the underlying payment evidence is already at hand.

Use that organised payment history beside the executed documents and asset records. Legal entitlement stays with the solicitor’s assessment, while valuation and expert conclusions require the relevant professional’s instructions. Before settling the proposed relief, reconcile each refund and recovered asset to the matrix and identify what each side would actually return.
